CRDB Bank Plc Overview: CRDB Bank Plc is a leading commercial bank in Tanzania, established in 1996. Over the years, the Bank has grown and prospered, becoming one of the most innovative and trusted financial institutions in the country. In June 2009, CRDB Bank Plc attained a significant milestone by being listed on the Dar Es Salaam Stock Exchange. The Bank currently owns four subsidiaries: CRDB Bank Burundi S.A., CRDB Insurance Company Limited, CRDB Bank Foundation, and CRDB Bank DR Congo S.A.

Board of Directors: The Board of Directors is responsible for governing the Bank through broad policies and objectives, which are formulated and agreed upon with the Managing Director. The policies and objectives aim to ensure that the following are achieved:

1. Protect the Bank's Assets and Reputation:

   • Procedures and practices are in place to protect the Bank’s assets and reputation.

2. Compliance with Relevant Laws:

   • The Bank adheres to all relevant laws, regulations, and codes of best practices.

3. Technology and Systems:

   • The Bank uses adequate technology and systems to operate effectively, competing efficiently through the use of its assets, processes, and human resources.

4. Risk Management and Shareholder Value:

   • The Board is responsible for monitoring risk identification and management to enhance long-term shareholder value.

Mode of Application: CRDB Bank Plc invites applications from suitably qualified candidates to fill five (5) positions on the Board of Directors:

• Independent Board Member: One (1) to represent all shareholders.
• Board Member for Shareholders (1%–10% ownership): One (1) to represent shareholders owning more than 1% but less than 10% of shares.
• Board Members for Shareholders (<1% ownership): Three (3) to represent shareholders owning less than 1% of shares.

The above Board Members will be elected by shareholders, with the Independent Board Member elected by all shareholders. Qualified candidates will be presented for election at the 30th Annual General Meeting, scheduled for 17th May 2025.

Required Documents for Application: Candidates must submit:

• A letter of application.
• Curriculum vitae.
• Certified copies of academic and professional certificates.
• Certified copies of the last page of their passport.
• Two passport-size photographs.
• Letters of recommendation from three references.
• A declaration of indebtedness to any bank.

Deadline: Applications must be submitted by 4:00 p.m. on Friday, 28th February 2025.

Knowledge and Education Background: In accordance with the Banking and Financial Institutions (Corporate Governance) Regulations, 2021, candidates for Board positions should possess expertise in one or more of the following fields:

• Banking, Finance, Accounting, Auditing, Law, or Economics.

Skills and Expertise: CRDB Bank Plc is seeking candidates with the following skills, particularly considering the current composition of the Board and developments in technology:

• Data Science and Cyber Security
• Law
• Accounting and Auditing
• Engineering
• Information Technology (Software Engineering, Technology, and Systems)
• Environmental Social Governance (ESG) and Sustainability
• Human Resources
• Insurance
• Board Experience (minimum of three years)

Role of the Board of Directors:

1. Determine the Bank's vision, mission, and values to ensure its continuity and legal existence.
2. Continuously monitor and evaluate the Bank’s strategy to achieve its vision and mission, ensuring its long-term survival and success.
